Terms of Use

These Terms of Use ("Terms") govern your access to and use of the "SMS to Email Forwarder" mobile application (the "App") and any related services (collectively, the "Service") provided by VoixWare, LLC ("VoixWare", "we", "us", or "our").

These Terms also constitute the End User License Agreement (EULA) governing your use of the App.

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

The App is an iOS utility designed to automatically forward your incoming SMS messages to an email address you specify. The Service is offered on different tiers, including a free version with limitations and paid subscription plans with enhanced features and higher usage limits.

2. User Responsibilities and Conduct

You are solely responsible for your use of the Service. You agree to:

• Provide an accurate and valid email address for message forwarding. We are not responsible for messages sent to an incorrectly configured or inaccessible email address.
• Comply with all applicable local, state, national, and international laws and regulations in connection with your use of the Service.
• Ensure that you have the legal right to forward the content of the SMS messages you receive.
• Not use the Service for any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable purpose.
• You acknowledge that you are solely responsible for setting up and maintaining the iOS Shortcuts Automation required for the App to function. We are not liable for any failure of the Service resulting from incorrect configuration, modification, or deletion of this automation by you or by changes in the iOS operating system.

3. Third-Party Services and Data Handling

To provide the Service, we rely on third-party infrastructure and services. You acknowledge and agree to the following:

• Data Pipeline: When an SMS is forwarded, its content passes through our backend systems, which may be hosted on third-party cloud infrastructure providers (such as Google Cloud Platform), and is then relayed to a third-party email delivery service (such as Mailgun) to be sent to your specified email address.
• No Long-Term Storage: As stated in our Privacy Policy, we do not store the content of your SMS messages on our servers long-term. Messages are processed in real-time and are not retained after successful delivery to the email service.
• Disclaimer Regarding Third Parties: We select our third-party partners for their reputation in security and reliability. However, we do not control and are not responsible for the data handling practices, security measures, or potential data breaches of these third parties. Your data, while in their possession, is subject to their respective terms of service and privacy policies. We disclaim all liability for any harm or damages caused by any third-party service provider.

4. Subscriptions, Payments, and Cancellations

VoixWare offers the Service through a free tier ("Free Tier") and one or more paid subscription plans ("Paid Subscriptions").

a. Free Tier

The Free Tier allows you to use the Service with certain limitations (e.g., a maximum number of forwarded messages per day and month). We reserve the right to change these limits or the features of the Free Tier at any time. We also reserve the right to include a discrete promotional message or signature in emails sent via the Free Tier.

b. Paid Subscriptions

Paid Subscriptions provide access to additional features and higher usage limits as described within the App.

• Billing and Payments: All Paid Subscriptions are processed through Apple's App Store and are governed by Apple's terms and conditions. Payment will be charged to your Apple ID account at the confirmation of purchase. We do not collect or process your payment information.
• Automatic Renewal: Your subscription will automatically renew for the same duration and price unless you cancel it at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
• Cancellation: You can manage and cancel your subscriptions at any time by going to your account settings on the App Store after purchase. If you cancel your subscription, you will continue to have access to the service until the end of your current billing period, after which your access will be revoked or reverted to the Free Tier.
• Restoring Purchases: If you change devices, you can restore your previous purchase within the App at no additional cost, provided you are using the same Apple ID.
• Pricing and Feature Changes: We reserve the right to change subscription fees and features in the future. Price changes for existing subscriptions will take effect at the start of the next subscription period following the date of the price change. We will provide you with reasonable prior notice of any price changes.
• Refunds: All purchases made through the App Store are final. We do not have the ability to issue refunds. Any refund requests must be directed to Apple, and they are granted at Apple's sole discretion.

c. Branding and Promotional Messages

To support the provision of the Free Tier, you acknowledge and agree that we reserve the right to include a discrete promotional message within the emails forwarded on your behalf. These messages may encourage an upgrade to a Paid Subscription or inform you about other relevant products and services offered by VoixWare, LLC.

Such promotional messages will not be based on the content of your SMS messages.

d. Changes to Features and Pricing

We reserve the right to add, remove, or modify features for any service tier, introduce new service tiers, or change the pricing for any Paid Subscriptions at any time. We will provide reasonable notice of any material changes that may adversely affect you.

5. Intellectual Property

All rights, title, and interest in and to the Service, including the App's design, software, logo, and other related materials, are and will remain the exclusive property of VoixWare, LLC and its licensors. These Terms do not grant you any right, title, or interest in the Service, other than a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use in accordance with these Terms.

6. Termination

We may terminate or suspend your access to the Service at any time, for any reason or no reason, including for a breach of these Terms, without prior notice or liability. You may stop using the Service at any time by deleting the App and the associated iOS automation from your device.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

VOIXWARE, LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOIXWARE, LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.

THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF VOIXWARE, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless VoixWare, LLC and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Cheyenne, Wyoming to resolve any dispute or claim arising from these Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of these Terms. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
